In this respect, we advise all types of companies, such as GmbH / UG (haftungsbeschränkt), AG or GmbH & Co. KG / KG / OHG and their shareholders, managing directors, board members and supervisory or advisory boards.
In the case of participation of investors or joint ventures, we are happy to take over e.g. the drafting and negotiation of participation and investment agreements, amendments to the articles of association, capital increase documentation and rules of procedure.
The purchase/sale and transfer of business shares by way of a so-called "SPA", through the purchase/sale of essential assets as an "asset deal" or alternative transaction structures (M&A) is just as much a part of our portfolio as is support in any termination of companies in the context of liquidation proceedings.
